Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Intelix Data Services platform (the "Service"), operated by Intelix Data Services ("Intelix," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Intelix Data Services is currently completing formation as a limited liability company. References to "Intelix Data Services" in these Terms will be updated to reflect the formal legal entity name once formation is complete.

1. Accounts

To use most parts of the Service, you must create an account. When you do, you agree to:

• Provide accurate, current, and complete information during registration.
• Keep your login credentials confidential and secure.
• Notify us promptly if you suspect unauthorized access to or use of your account.
• Be responsible for all activity that occurs under your account.
• Register only one account per individual or business, unless we agree otherwise in writing.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

2. Using the Platform

When using the Service, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or other users' accounts.
• Probe, scan, or test the vulnerability of the Service, or attempt to bypass any security or authentication measures.
• Use automated means (bots, scrapers, or similar tools) to access the Service except as expressly permitted under a separate written agreement with us.
• Impersonate any person or entity, or misrepresent your affiliation with one.

We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms.

3. What You're Purchasing

Intelix Data Services provides subscription-based access to data products and related services delivered through the Service (the "Data"). A subscription grants you access to the specific data offerings included in your selected plan for as long as your subscription remains active and in good standing. Your subscription does not transfer ownership of the Data to you — it grants a license to access and use it as described in Section 4 below.

4. Subscriptions, Billing, and Auto-Renewal

• Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually, as shown at checkout) using the payment method on file.
• Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. Renewal charges are billed at the then-current price for your plan.
• You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period; we do not provide prorated refunds for partial periods except as described in our Refund Policy.
• We will provide reasonable advance notice before any price increase takes effect on your subscription.

5. Data License Restrictions

Access to the Data is licensed to you solely for your organization's internal business use. Unless you have a separate written agreement with us that expressly permits otherwise, you may not:

• Redistribute, resell, or sublicense the Data to any third party;
• Make the Data available to third parties as part of a competing product or service; or
• Systematically extract, scrape, or copy the Data in bulk for purposes beyond your organization's internal use.

We may suspend or terminate your access to the Data, without refund, if we reasonably determine that you have violated this license restriction.

6. Refunds

Refund eligibility is governed by our Refund Policy, which is incorporated into these Terms by reference.

7. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your account or access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a risk to us, other users, or third parties.

8. Disclaimers and Limitation of Liability

The Service and Data are provided "as is" without warranties of any kind, express or implied, to the fullest extent permitted by law. To the fullest extent permitted by law, Intelix Data Services will not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Service, and our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Governing Law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws principles.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting a notice on the Service or updating the effective date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
